IRc <br />6a E MAP i 2012 <br />O: PRCS ( I) <br />Silvia Cuevas <br />EVENT COORDINATOR <br />SERVICES AGREEMENT <br />N-2012-020 <br />This Agreement is entered into on March 1, 2012, by and between the City of Santa Ana, a charter City <br />and municipal corporation duly organized and existing under the Constitution and laws of the state of <br />California, ( "City") and Netz4Life, Inc., a Non -Profit Public Benefit Corporation (hereinafter referred to <br />as "Consultant"). <br />RECITALS <br />A. The City desired to retain a firm having special skill and knowledge to provide event <br />coordination services for the annual Santa Ana Health and Fitness Fair and VIP Basketball <br />game. <br />B. Consultant represents that it has produced similar events and that it is able and willing to provide <br />such services to the City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this Agreement <br />will be performed in compliance with such standards as may reasonably be expected from a <br />professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms <br />and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall provide planning and event coordination services for the Santa Ana Health and <br />Fitness Fair and VIP Basketball Game at Godinez High School (hereinafter "the Event"), as set forth in <br />Exhibit A, attached hereto and incorporated by this reference. <br />2. COMPENSATION <br />a. The total budget for the Event is 21,080.00, as set forth in Exhibit B, attached hereto and <br />incorporated by reference. City agrees to provide $15,080 of the total budget and Consultant will obtain <br />the additional funding required to produce the Event. City agrees to provide payments in three <br />installments as follows: <br />• first installment of $5,027 to be paid on March 12, 2012; <br />• second installment of $5,027 to be paid on March 26, 2012; <br />• third and final installment of $5,026 to be paid on April 9, 2012. <br />3. TERM <br />This Agreement shall commence on the date first written above and terminate on June 30, 2012. <br />4. INDEPENDENT CONTRACTOR <br />Consultant shall, during the entire term of this Agreement, be construed to be an independent <br />contractor and not an employee of the City. This Agreement is not intended nor shall it be construed to <br />create an employer-employee relationship, a joint venture relationship, or to allow the City to exercise <br />
