Agreement No. 04012012001 <br />Attachment B <br />GIS Data Configuration <br />Sublicense Terms <br />2012 DIGITAL MAP PRODUCTS <br />This document and any portion thereof may not be reproduced <br />without the prior written consent of <br />DIGITAL MAP PRODUCTS <br />This Sublicense Agreement (Agreement) is made and entered into as of April 1, 2012 (the Effective Date) by and between Digital <br />Map Products, Inc. ("DMP' and City of Santa Ana (Licensee). Unless otherwise defined herein, all capitalized terms in this <br />document have the respective meanings assigned to them in Section 1. <br />RECITALS <br />A. DMP is an authorized Sublicensor of certain Contributed Databases which are owned by third parties. <br />B. Licensee desires to acquire from DMP and DMP desires to grant to Licensee a non-exclusive right and <br />sublicense to use the Licensed Products containing all or portions of the contributed databases solely for the Purpose hereinafter <br />defined. <br />NOW, THEREFORE, in consideration of the mutual promises, covenants, and agreements set forth herein, the parties of <br />this Agreement hereby agree as follows: <br />1. DEFINITIONS <br />1.1 "Contributed Data Database" shall mean those certain Databases licensed by those certain <br />Contributors to DMP with the right to grant sublicenses as set forth herein. The Licensed Products and Contributors relevant to this <br />Agreement are identified in Exhibit A attached hereto and incorporated by reference herein. <br />1.2 "Contributor" shall mean a third party licensor of Contributed Databases to DMP. <br />1.3 "Database" shall mean a compilation of geographic, cartographic, engineering, architectural, tabular, text <br />and/or other data, information or works, including, but not limited to, graphic and/or file data in automated or manual form. <br />1.4 "Derivative Databases" or "Products" shall mean all works created by Licensee which incorporate all or part of <br />the Contributed Database, including, but not limited to, a revision, modification, translation, abridgment, condensation, expansion, <br />collection, compilation or any other form of, or modification to the Contributed Database. <br />1.5 "Documentation" shall mean all manuals, user documentation, and other related materials pertaining to the <br />Licensed Products which are furnished in order to ensure proper and/or ease of use of the databases by Licensee. <br />1.6 "Licensed Products" shall mean those portions of the Contributed Databases set forth in Exhibit A of this <br />Agreement. <br />1.8 "Peripheral Databases" shall mean any work created by Licensee that does not incorporate, or use as a base, <br />any portion of the Contributed Database or Derivative Product. <br />1.9 "Purpose" shall mean the use of Licensed Products for Licensee's normal business activities by its employees, <br />agents and contractors, subject to the terms and conditions herein or as hereinafter modified in accordance with Section 2. <br />Specifically excluded from the Purpose, but not limited to, is the public display or depiction of Licensed Products using the Internet <br />unless explicitly authorized by DMP. <br />1.10 Visual Output shall mean all printouts, plots, displays, photographic film, printed matter and other visual <br />representation of data. <br />Page 5 of 25A-7 <br />3
