SOFTWARE LICENSE, MAINTENANCE <br />AND TRAINING AGREEMENT <br />THIS AGREEMENT, dated April 16, 2012, is between Environmental Systems Research <br />Institute, Inc. (hereinafter "ESRI") and the City of Santa Ana (hereinafter "CITY"). <br />ESRI hereby grants to CITY a license to use the type and number of copies of the Software, Data <br />and Documentation, as set forth in Exhibit 1, for which the appropriate license fees have been <br />paid to ERSI. This Agreement includes 1) this signature page, 2) Quotation #200400095, dated <br />February 7, 2012, 3) License Agreement (E204 4/22/10), 4) Exhibit 1 - Scope of Use (E300 <br />9/29/11) and 5) optional ArcGIS Training Proposal. <br />The Term of the Annual Licenses set forth in Exhibit 1 shall commence May 1, 2012 and be <br />effective through April 30, 2013. The term may be extended for additional one-year periods upon <br />payment of license fees, properly invoiced thirty days prior to the end of the then current term, <br />and paid according to CITY's accounting procedures. <br />City, at its sole discretion, may purchase Training on the terms and conditions set forth in the <br />Training Proposal. <br />The total amount to be expended for all services provided pursuant to this Agreement shall not <br />exceed $45,000, annually, during the term of this Agreement. <br />This Agreement constitutes the sole and entire agreement of the parties as to the subject matter <br />set forth herein and supersedes any previous agreements, understandings and arrangements <br />between the parties relating to such subject matter, Any modification(s) or amendment(s) to this <br />Agreement shall be in writing and signed by an authorized representative of each party. <br />IN WITNESS WHEREOF, the parties have executed this Agreement on the date first set forth <br />above. <br />ATTEST: <br />CITY OF SANTA ANA <br />Maria D.
