C-1-3099 <br />BETWEEN <br />ORANGE COUNTY TRANSPORTATION AUTHORITY <br />AND <br />CITY OF SANTA ANA <br />FOR <br />PROJECT DEVELOPMENT ACTIVITIES AND PRELIMINARY ENGINEERING OF <br />THE SANTA ANA AND GARDEN GROVE FIXED GUIDEWAY PROJECT <br />THIS AGREEMENT is effective this /51- day of `MrmarM 2012, by and <br />between the Orange County Transportation Authority, 550 South Main Street, P.O. Box 14184, <br />Orange, California 92863-1584, a public corporation of the State of California (hereinafter referred to <br />as "AUTHORITY", and the City of Santa Ana, P.O. Box 1988, Santa Ana, California 92702, a <br />municipal corporation (hereinafter referred to as "CITY") (mutually referred to herein as "PARTIES" <br />or each individually as a "PARTY"). <br />RECITALS: <br />WHEREAS, AUTHORITY and the CITY entered into Cooperative Agreement C-8-1157 on <br />I <br />I <br />September 9, 2008, to define the specific terms and conditions, and roles and responsibilities for <br />completion of the Alternatives Analysis, conceptual engineering, detailed planning, project <br />management and state/federal environmental clearance for the Santa Ana/Garden Grove Fixed- <br />Guideway; and <br />WHEREAS, the AUTHORITY's Board of Directors on November 22, 2010, approved <br />Project "S" funding application and funding plan providing Four Million Four Hundred Thirty Three <br />Thousand Three Hundred Sixty Dollars ($4,433,360) of Section 5307 transit funds (80%) and <br />Five Hundred Fifty Four One Hundred Seventy Thousand Dollars ($554,170) or (10%) of <br />Renewed Measure M (hereinafter referred to as "M2") Project S funds for the project development <br />activities and the Preliminary Engineering Phase (as defined in Project "S" application, received by <br />Page 1 of 16 <br />L:Camm\CLERICAL\CLERICAL\WORDPROCWGREEW MEND\AG13009
