Lut& <br />DATE: M y, <br />0-- Lor' Minm <br />Z FHIS FIRST AMENDMENT TO AGREEMENT, is made and entered into this f0 da <br />N�n'►'r+x� 2012 by and between "the Parties," Eric Gruver, PhD, (hereinafter y <br />Pof <br />sAfl <br />"Consultant"9: and the City of Santa Ana, a charter city and municipal corporation organized and <br />existing under the Constitution and laws of the State of California (hereinafter "City and/or the <br />Client"). <br />RECITALS <br />A. The City and Consultant entered into Agreement No.A-2008-034, dated February 21, <br />2008, (hereinafter "said Agreement"), by which Consultant was to perform <br />psychological consulting and evaluation services for City. Said Agreement was to <br />terminate upon the expenditure of the allocated funds of an amount not to exceed <br />$25,000.00. <br />B. Thereafter, upon the expenditure of the allocated funds, the Parties agreed to extend <br />the term of said Agreement so that Consultant would continue to provide <br />psychological services for City. However, due to an oversight, this agreement was <br />not formally executed in writing, although Consultant continued to provide services <br />as set forth in said Agreement. <br />C. In accordance with the terms and conditions of said Agreement, the Parties wish to <br />renew said Agreement and ratify all services previously provided by Consultant since <br />the expenditure of all allocated funds, extend the term of said Agreement through <br />June 30, 2012, and increase the compensation to pay for additional services provided <br />by Consultant during the extended term. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br />the terms and conditions of said Agreement, except those amended in this First Amendment to <br />Agreement, the parties agree as follows: <br />1. Section 2, COMPENSATION, shall be amended to increase compensation by an <br />amount not to exceed $25,000.00 during the extended term. The amount of <br />compensation shall include all payments City made for services previously rendered by <br />Consultant during the extended term. <br />3. Section 3, TERM, shall be amended to extend the term of said Agreement through June <br />30, 2012. In order to provide for continuous uninterrupted service to City, this agreement <br />shall include all services previously rendered by Consultant. <br />4. Except as hereinabove modified, all terms and conditions of said Agreement shall remain <br />in full force and effect. <br />
