A-2010-237-01 r FIRST AMENDMENT TO AGREEMENT THIS FIRST AMENDMENT TO AGREEMENT is entered into on December 6, 2011, by and between MindTouch, Inc., a California corporation (hereinafter "Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California (hereinafter "City"). RECITALS: A. The parties entered into Agreement # A-2010-237, dated December 9, 2010, (hereinafter "said Agreement") by which Consultant developed and delivered a web site and information sharing portal. B. In accordance with the terms and conditions of said Agreement, the parties wish to amend the scope of said Agreement to provide for system maintenance and support services, extend the term for an additional one-year period, and increase the compensation to pay for services during the extended term. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: Section 1, SCOPE OF SERVICES, shall be amended to provide for system maintenance and support services as set forth in Exhibit A to this Amendment to Agreement. 2. Section 2, COMPENSATION, shall be amended to increase compensation by $10,000.00, for a total amount not to exceed $110,000.00, to pay for the services as set forth in Exhibit A to this Amendment to Agreement. 3. Section 3, TERM, shall be amended to extend the term of said Agreement for an additional one-year period through December 31, 2012. 4. Except as herinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
