ERK <br />t 12 2c t FIRST AMENDMENT TO AGREEMENT <br />THIS FIRST AMENDMENT TO AGREEMENT is entered into on <br />c uwA t2 , 2012 by and between WILLDAN HOMELAND <br />SOLUTIONS, a alifornia corporation (hereinafter "Consultant"), and the City of <br />Santa Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California (hereinafter "City"). <br />RECITALS: <br />A. The parties entered into Agreement # A-2010-165, dated September 8, 2010, <br />(hereinafter "said Agreement") by which Consultant has provided Continuity of <br />Operations Plans ("COOP"). <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />amend the Scope of Work to provide additional services. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />First Amendment, the parties agree as follows: <br />1. Section 1, SCOPE OF SERVICES, shall be amended by amending Exhibit A, as set <br />forth in Exhibit A- 1, attached hereto and incorporated by this reference. <br />IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to <br />Agreement on the date and year first written above. <br />ATTEST: <br />MARIA D.
