A-2011-196-01 <br />"1.A. City hereby agrees to and does employ Attorneys, for the compensation hereinafter <br />specified, to assist its Personnel Agency in transactional and negotiation services related to <br />City's negotiation with the full-time bargaining units, including Police Officers Association <br />(POA), Firemen's Benevolent Association (FBA), Police Management Association (PMA), Fire <br />Management Association (FMA), Service Employees International Union (SEW), Santa Ana <br />Management Association (SAMA) and the Confidential Association of Santa Ana (CASA), and <br />other legal issues when and as requested by the Executive Director of Personnel to do so. <br />Attorneys accept said employment and agree to perform, in timely and efficient manner all such <br />services as may be requested by the City. Attorneys shall confirm their acceptance of work <br />requested by City in writing by e-mail or letter. <br />B. During the 2012 calendar year, Attorney will provide the following services to City (and <br />the other aforesaid public agencies): <br />Six (6) days of group training workshops covering such employment relations <br />subjects as management rights and obligations, negotiation strategies, employment <br />discrimination and affirmative action, employment relations from the perspective of <br />elected officials, performance evaluation (administering evaluations), grievance and <br />discipline administration for supervisors and managers, planning for and responding <br />to concerted job actions, current court, administrative and legislative developments in <br />personnel administration and employment relations, etc., with specific subjects <br />THIS FIRST AMENDMENT TO AGREEMENT is entered into on can- 4 2012, by <br />and between Liebert Cassidy Whitmore, A Professional Corporation ("Attorney") and the City of <br />Santa Ana, a charter city and municipal corporation organized and existing under the Constitution <br />v <br />and laws of the State of California ("City"). <br />RECITALS: <br />_. <br />A. The parties entered into that certain Agreement A-2011-196, dated August 1, 2011, <br />15 <br />(hereinafter said Agreement'i by which Attorney has provided legal advice and negotiation <br />services; and <br />B. The City desires to secure expert training and consulting services regarding relations and <br />negotiations with its employee organizations; and <br />C. Attorney has determined that no loss than forty four (44) public agencies in the Orange <br />County area have the same need and has agreed to provide the group specialized training and <br />consulting services; and <br />D. In accordance with the terms and conditions of said Agreement, the parties wish to amend the <br />term of said Agreement to provide that <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br />the terms and conditions of said Agreement, except those amended in this First Amendment to <br />Agreement, the parties agree as follows: <br />1.
