4 t A-2011-055-01 <br />FIRST AMENDMENT TO AGREEMENT <br />THIS FIRST AMENDMENT TO AGREEMENT is entered into on January 23, 2012, by <br />and between OVERLAND, PACIFIC & CUTLER, INC., a California corporation ("Consultant") <br />and the City of Santa Ana, a charter city and municipal corporation organized and existing under <br />the Constitution and laws of the State of California ("City"). <br />RECITALS: <br />A. The parties entered into that certain Agreement A-2011-055, dated March 7, 2011, (hereinafter <br />"said Agreement") by which Consultant has provided property acquisition, relocation and <br />management services. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to extend the <br />term for an additional two year period. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br />the terms and conditions of said Agreement, except those amended in this First Amendment to <br />U Agreement, the parties agree as follows: <br />1. Section 4, TERM, shall be deleted in its entirety and replaced with the following: <br />"This Agreement shall commence on March 1, 2011 and terminate on the later of February <br />28, 2014, or the expenditure of allocated funds, unless terminated earlier in accordance with <br />Section 13, below." <br />2. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in <br />full force and effect. <br />IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to Agreement <br />on the date and year first written above. <br />ATTEST: <br />Maria D.
