DELEGATION AND ASSIGNMENT/SUBCONTRACTS <br />7.1 Delegation and Assignment: <br />CONTRACTOR shall neither delegate its duties or obligations nor <br />assign its rights with respect to this Agreement, either in. whole or in part. <br />Any such attempted delegation or assignment shall be void. The transfer of <br />assets in excess of ten (10) percent of the total assets of CONTRACTOR, or any <br />change in the corporate structure, the governing body, or the management of <br />CONTRACTOR, which occurs as a result of such transfer, shall be deemed an <br />assignment of benefits under the terms of this Agreement and shall be void. <br />7.2 Subcontracts: <br />CONTRACTOR shall not subcontract for services under this Agreement <br />without the prior written consent of ADMINISTRATOR. If ADMINISTRATOR consents <br />in writing to a subcontract, in no event shall the subcontract alter, in any <br />way, any legal responsibility of CONTRACTOR to COUNTY. All subcontracts must <br />be in writing and copies of same shall be provided to ADMINISTRATOR. <br />CONTRACTOR shall include in each subcontract any provision ADMINISTRATOR may <br />require. <br />7.2.1 Subcontracts of $25,000 or less: <br />CONTRACTOR shall develop a standard form Purchase Order, <br />subject to prior written approval of ADMINISTRATOR, to be utilized for the <br />purchase of services by CONTRACTOR when the cumulative total cost of the <br />services to be provided by any organization is anticipated to be twenty-five <br />thousand dollars ($25,000) or less during the term of this Agreement.
