( "Consultant "), and the City of <br />Santa Ana, a charter city and municipal corporation organized and e�cisting under the Constitution <br />and laws of the State of California ( "City "). <br />RECITALS <br />A. The parties entered into Agreement N- 2010 -093, dated July 1, 2010, (hereinafter "said <br />Agreement ") by which Consultant has provided vending machines at City owned and <br />operated parks and recreational facilities. <br />B. The parties executed a First Amendment N- 2010 - 093 -001, dated July 1, 2011, to extend the <br />term of said Agreement to June 30, 2013. <br />C. In accordance with the terms and conditions of said Agreement, the parties wish to amend <br />said Agreement to extend the term for an additional one -year period. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br />the terms and conditions of said Agreement, except those amended in this Second Amendment to <br />Agreement, the parties agree as follows: <br />1. Section 1, TERM, shall be amended to extend the term for an additional one -year period, <br />through June 30, 2013. <br />2. Pursuant to Section 6, EQUIPMENT PLACEMENTS, the parties agree that the equipment <br />list attached hereto as Exhibit B -1, sets forth the approved placement of all equipment <br />pursuant to this Agreement. <br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in <br />full force and effect. <br />/// <br />/// <br />/// <br />
