thousand dollars, equivalent to twenty percent (20%) of the PROJECT cost split <br />with the following cost contribution of cash and in-kind service, SANTA ANA, <br />$75,579 and COSTA MESA, $79,421. <br />WHEREAS, the CITIES desire to enter into this Cooperative Agreement to <br />demonstrate their commitment to improving traffic signal synchronization <br />opportunities for Orange County and to develop and implement the Fairview <br />Project; and <br />J. WHEREAS, this cooperative agreement defines the specific terms, conditions <br />and funding responsibilities between the CITIES for the implementation of the <br />PROJECT; <br />NOW, THEREFORE, it is mutually understood and agreed to by the CITIES to enter <br />into this cooperative agreement with respect to the matters as follows: <br />1. RESPONSIBILITIES OF THE CITY OF SANTA ANA: <br />The City of Santa Ana agrees to the following responsibilities for implementation <br />and funding of the PROJECT: <br />a. To authorize the CITY OF COSTA MESA to be the Administering Agency for <br />the PROJECT. <br />b. To authorize OCTA to distribute its grant allocation to COSTA MESA in order <br />to pool the partner Cities' grant funds in order to complete a more thorough <br />project on Fairview between SR-55 and SR-22 Freeways than could be <br />accomplished by each city individually. SANTA ANA will contribute $20,000 <br />in cash and $55,579 in in-kind services for a total match share of $75,579. <br />c. SANTA ANA shall help develop the project scope, provide input into the <br />consultant selection, attend team meetings, and review all consultant and <br />administrative reports pertaining to the SANTA ANA scope of work. <br />d. SANTA ANA shall provide required updates as requested by OCTA as part of <br />the semi-annual review process until the completion of the three year grant <br />period. Documents to be provided include but are not limited to payroll <br />records, contracts, and purchase orders related to the PROJECT. <br />2. COSTA MESA AGENCY RESPONSIBILITIES: <br />a. COSTA MESA shall manage the Project for the Cities of COSTA MESA and <br />SANTA ANA. COSTA MESA shall act as the "Administering Agency" for the <br />work for both COSTA MESA and SANTA ANA. A copy of this Agreement <br />shall be mailed to OCTA within ten (10) days after this Agreement has been <br />executed, pursuant to the terms and conditions of the Cooperative <br />Agreement. <br />2 <br />25G-4
