shall use the pay scale provided above to provide an hourly adjustment for Year 1 for any displaced <br />City of Santa Ana employee (refer to Exhibit B). <br />The City agrees to negotiate any adjustments with the Proposer that may result from unforeseen <br />circumstances resulting from the implementation of this provision. Any request to negotiate shall be <br />submitted to the City for review in a timely manner along with any facts that would justify the need to <br />renegotiate this provision. <br />M. CONTRACTOR COMMUNITY EVENT PARTICIPATION AND PUBLIC AWARENESS <br />If requested by City, Contractor shall participate in extensive public awareness efforts and community <br />events and programs, such as neighborhood and City events. Such participation shall be upon City <br />request provided with reasonable notice of event timing. Such events will not exceed four (4) per year. <br />N. COMPLIANCE WITH APPLICABLE LAWS AND REGULATIONS <br />1. Contractor shall perform all requirements under this contract in strict observance of and in compliance <br />with all applicable environmental, traffic, safety and any other laws, regulations, ordinances, codes and <br />any other legislative or statutory requirements. <br />2. Contractor warrants that the performance of services under this contract shall be compliant with the <br />current requirements of the Occupational Safety and Health Act (OSHA) and as it may be amended or <br />updated throughout the term of this contract. <br />0. ASSIGNMENT <br />Inasmuch as this Contract is intended to secure the specialized services of Contractor, Contractor may <br />not assign, transfer, delegate or subcontract any interest herein without the prior written consent of City <br />and any such assignment, transfer, delegation or subcontract without the City's prior written consent <br />shall be considered null and void. <br />P. JURISDICTION - VENUE <br />This Contract has been executed and delivered in the State of California and the validity, interpretation, <br />performance and enforcement of any of the clauses of this Contract shall be determined and governed <br />by the laws of the State of California. Both parties further agree that Orange County, California, shall <br />be the venue for any action or proceeding that may be brought or arise out of, in connection with or by <br />reason of this Contract. <br />Q. FINES <br />The Contractor shall be liable for all violation fines levied against the City by, but not limited to, AQMD, <br />State or Federal Agencies and the Courts such as, but not limited to, oil or fluid leaks. <br />City of Santa Ana Police Department <br />Request for Proposals for Parking Control Enforcement Services <br />Page 22 <br />25F-42
