Consultant shall pay all salaries and wages, employer's <br />social security taxes, unemployment insurance and similar taxes relating to employees and shall <br />be responsible for all applicable withholding taxes. <br />8. TERMINATION FOR CONVENIENCE. City or Consultant may terminate this Agreement <br />at any time without cause by giving fifteen (15) days written notice of such termination to the <br />non-terminating party, and by specifying the effective date thereof. If this Agreement is <br />terminated by City, Consultant shall be paid for its services rendered to City as of the date of <br />termination. <br />9. TIME OF COMMENCEMENT AND PERFORMANCE. Consultant shall commence its <br />services under this Agreement upon receipt of a notice to proceed from City which shall <br />represent the City's consent to execute all of the provisions and inclusions of this Agreement. <br />Consultant shall complete the performance of services required by this Agreement as directed <br />in writing by the designated project manager. Any adjustment to this performance deadline <br />shall be made only by prior written agreement between the parties. <br />10. TERM. This Agreement shall commence on June 1, 2012, and shall remain valid unless <br />otherwise terminated pursuant to Section 8 of this Agreement. <br />11. ASSIGNMENT. This Agreement requires services of a unique and specific nature, and <br />therefore, may not be assigned, in whole or part, without the prior written consent of City. <br />12. AMENDMENT. This Agreement shall not be amended without the written consent of both <br />parties. <br />13. NOTICE. Written notices to the Consultant shall be given by United States mail, postage <br />prepaid, and addressed to: Cit Com, Inc., Attention: William Romesburg, PO Box 890513, <br />Temecula, California 925 89-05 1 3. Written notices to the City shall be given by United States <br />mail, postage prepaid, to the attention of Commander Jim Schnabl, Santa Ana Police <br />Department, 60 Civic Center Plaza P.O. Box 1981. Santa Ana, CA 92702. <br />14. ENTIRE AGREEMENT. This Agreement shall constitute the entire Agreement between the <br />parties.
