Rights of Regular members are as follows: <br />1. May serve on The Board of Directors; <br />2. Committee Participation, including chair; <br />3. Attendance at all corporation functions; <br />4. Voting on all issues brought before the corporation membership <br />(b) Associate Members. Open to all others not eligible for Regular Membership. <br />Rights of Associate Members are as follows: <br />1. Committee participation, excluding chair; and <br />2. Attendance at all corporation functions <br />(c) Advisory Membership. Open to organizations selected by the Board of Directors which are <br />not eligible for Regular Membership, including the Santa Ana Police Department, City of Santa <br />Ana Economic Development, etc. <br />Rights of Advisory members are as follows: <br />1. May serve on the Board of Directors; <br />2. Committee participation, including chairing a committee; <br />3. Attendance at all Corporate functions; <br />4. Shall not have the right to vote. <br />SECTION 2. ELIGIBILITY <br />(a) Regular Members. All Regular Members within the District described in Article I Section 5 of <br />these Bylaws is automatically eligible to have one (1) representative as a Regular Member of <br />Downtown Incorporated. <br />(b) Associate Members. Any person or entity who submits an application to the Board of <br />Directors, or who is invited by the Board, to become an Associate Member, is eligible to be an <br />Associate Member of Downtown Incorporated. <br />(c) Limits on Membership. No member shall hold more than one membership in Downtown <br />Incorporated. <br />SECTION 3. QUALIFICATIONS AND ADMISSION <br />(a) Regular Members. Any person designated for Regular Membership in Downtown Incorporated <br />who agrees to be bound by the Articles of Incorporation of Downtown Incorporated, by these <br />Bylaws, and by the rules and regulations adopted by the Board of Directors, may apply to <br />become a Regular Member of Downtown Incorporated by executing and filing with the <br />Secretary of Downtown Incorporated an application for membership and making payment of <br />dues as prescribed from time to time by the Board of Directors. Upon approval by the Board of <br />Directors, the applicant shall become a Regular Member of Downtown Incorporated. <br />(b) Associate Members. Any other person may apply for Associate Membership in Downtown <br />Incorporated by executing and filing with the Secretary of Downtown Incorporated an <br />application for membership and making payment of dues as prescribed from time to time by <br />the Board of Directors. Upon approval by the Board of Directors, the applicant shall become <br />an Associate Member of Downtown Incorporated. <br />3 <br />19E-17
