N- 2010 - 075 -001 <br />WC required if consultant <br />has employees <br />SEP � � �� FIRST AMENDMENT TO CONSi_7I.TANT AGREEMENT <br />C dd� e THIS FIRST AMENDMENT TO AGREEMENT, is entered into this 1�` day of June, <br />puQuC 2012 by and between Benefit Funding Services Group, Inc. (hereinafter "Consultant "), and the <br />V City of Santa Ana (hereinafter "City "). <br />RECITALS: <br />A. The parties entered into that certain Agreement # N- 2010 -075, dated June 28, 2010, <br />(hereinafter "said Agreement ") by which Consultant has provided employee defen•ed <br />compensation plan analysis and assessment services. <br />B. The Parties agreed to, and have continued performing in conformance with the terms and <br />conditions of said Agreement, however, due to clerical error, the parties failed to execute a <br />writing evidencing their agreement to continue performance. <br />C. Tn accordance with the terms and conditions of said Agreement, the parties wish to execute <br />this Amendment, extending the term of said Agreement and providing compensation for <br />services rendered during the 2011 -2012 fiscal year. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br />the terms and conditions of said Agreement, except those amended in this First Amendment to <br />Agreement, the parties agree as follows: <br />1. Section 2.a., COMPENSATION, shall be amended to increase compensation by $9,500.00, to <br />pay for the consulting services provided during Fiscal Year 2011 -2012, at the rate of <br />$4,750.00 per quarter. <br />2. Section 3, TERM, shall be amended to extend the termination date through June 30, 2012. <br />3. The Parties agree that each party may execute this First Amendment to Agreement by <br />facsimile signature and that such facsimile signature shall bind said Party. <br />4. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in <br />full force and effect. <br />/// r <br />/// <br />/// <br />/// <br />
