FIFTH AMENDMENT TO AGREEMENT <br />THIS FIFTH AMENDMENT TO AGREEMENT is entered into this 17`x' day of September, <br />2012, by and between Hydroblast Exterior Cleaning Company, LLC ("Contractor") and the City of <br />Santa Ana ("City"). <br />RECITALS: <br />A. The parties entered into Agreement #A-2007-111 dated May 7, 2007, (hereinafter "said <br />Agreement") by which Contractor has provided pavement cleaning services. <br />B. Said Agreement has been amended from time to time to exercise options to extend the term, and to <br />add compensation to pay for services during the extended term. <br />C. The City wishes to amend the scope of services, increase compensation, and extend the term for an <br />additional six-month period upon the terms set forth below. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the <br />terms and conditions of said Agreement, as previously amended, the parties agree as follows: <br />Section 1, SCOPE OF SERVICES, shall be amended to provide that in addition to providing <br />pavement cleaning services in the Civic Center area, Contractor will perform a one-time pressure <br />washing ofthe Santa Ana Stadium bleacher area and walkways (all walkways and isles). All <br />services shall comply with the specifications set forth in Exhibit A, attached hereto and <br />incorporated by this reference. The City may request additional services through a writing <br />executed by the Executive Director of Parks, Recreation and Community Services. <br />2. Section 2, COMPENSATION, is amended to increase compensation as follows: <br />• $33,505.00 to pay for Civic Center Cleaning during the extended term <br />• $4,300.00 for one-time stadium cleaning <br />• $5,565.00 contingency for unanticipated services. <br />The total amount expended pursuant to this Fifth Amendment shall not exceed $43,370, during the <br />extended term. In order to provide continuous uninterrupted service, all services provided by <br />Contractor since July 1, 2012 shall be included within the Scope of Services of this Agreement. <br />Section 3, TERM, is amended to provide that in order to provide continuous services while the <br />City coompletes the competitive bid process, the term of this agreement shall be extended for an <br />additional six-month period through December 31, 2012. <br />4. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full <br />force and effect. <br />/// <br /> <br />/// <br />25B-3
