PW� C2� CONSULTANT AGREEMENT Sour'[ �Qyri� ro►h THIS AGREEMENT, made and entered into this 20 "' day of August, 2012 by and between CivilSource, hrc., a California Corporation (hereinafter "Consultant "), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constihttion and laws of the State of California (hereinafter "City "). RECITALS A. The City desires to hire a skilled engineer to provide civil engineering consulting services on au as- needed basis, for the Public Works Agency. B. Consultant represents that Consultant is able and willing to provide such services to the City. C. In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable iu its field and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting tine in the Feld. NOW THEREFORE, in consideration of the nmtual and respective prormises, and subject to the terms and conditions hereinafter set forth, fire parties agree as follows: SCOPE OF SERVICES Consultant shall provide project management assistance to support ongoing projects and progrars in the Public R�orks Agency, including: Managing the Engineering Division of the Public Works Agency during the City's recruitment for a City Engineer; Providing consultation, review and coordination services for ongoing projects such as the Bristol Street widertirtg, Fixed Guideway and Santa Ana Boulevard Grade Separation; Assistutg City staff in the inrplemeutation of programs such as NPDES, and Right of Way Management. All such support services shall be provided at the du-ectiou of the Executive Director of Public Works. Consultant shall provide staff required by the City for approximately 25 hours per week. Consultant agrees that personnel assigned by Consultant shall be subject to prior approval by the City. DELIVERY OF WORK PRODUCT Consultant shall deliver to City any work product which results front the services provided. Said work product shall be submitted in the form agreed between the Project Manager and Consultant. Said work product shall become the properrty of the City; however, Consultant ruay retairt, for its files, copies of any and all materials, including drawings, documents and specifications, produced by the Consultant in the performance of this Agreement. City shall hold harmless Consultant from any claim arising from the unauthorized use of computations, maps, and other documents prepared or provided by the Consultant pursuant to [iris Agreement, in other City projects.
