CLERK OF COUNCIL DATE: �7' 1 � 2012 TH1I2D AMENDMENT TO AGREEMENT THIS THIRD AMENDMENT TO AGREEMENT is entered into on June 6, 201 1, by and between MAXIMUS Consulting Services, Inc., formerly MAXIMUS Financial Services, Inc., a California corporation ( "Consultant ") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California («City„)- RECITALS: A. The City and MAXIMUS Financial Services, Inc- entered into that ce�Tain Agreement N- 2009 -138, dated October 1, 2009, (hereinafter "said Agreement ") by which Consultant has provided State Mandate Reimbursement claims services- B- In accordance with the terms and conditions of said Agreement, the parties wish to amend said Agreement to provide claims process services for an additional one -year period, and add compensation to pay for services during the extended term. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this Third Amendment to Agreement, the parties agree as follows: 1 - Section 2, TERM, shall be amended to extend the term of said Agreement for an additional one -year period, through fiscal year 2012 -2013. 2- Section 3., COMPENSATION, shall be deleted in its entirety and replaced with the following: "City shall be billed on an annual fixed fee basis. Consultant agrees to file all eligible annual fiscal year 2012 -2013 actual cost reimbursement claims for a fixed fee of Twelve Thousand, Six Hundred Dollars ($12,600). City shall pay forty percent (40 %) September 30; forty percent (40 %) December 31 ; and twenty percent (20 %) May 3 1 -" 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect. /// /// ///
