SP 18 2012 <br />COTC �l J <br />Mar's a tlt, %zar <br />THIRD AMENDMENT TO AGREEMENT <br />N- 2008 - 084 -003 <br />THIS THIRD AMENDMENT TO AGREEMENT is entered into on September 4, 2012, <br />by and between Municipal Code Corporation, a Florida corporation ( "Consultant ") and the City <br />of Santa Ana, a charter city and municipal corporation of the State of California ("City"). <br />RECITALS: <br />A. The parties entered into Agreement # N -2008 -084, dated July 1, 2008, (hereinafter "said <br />Agreement') by which Consultant has provided municipal code republication and update <br />services. <br />B. By Amendments July 1, 2009, and April 18, 2011, the parties added compensation and <br />extended the term of said Agreement. <br />C. In accordance with the terms and conditions of said Agreement the parties wish to add <br />compensation to pay for services provided during the FY 2012 -2013 fiscal year. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br />the terms and conditions of said Agreement, except those amended in this Third Amendment to <br />Agreement, the parties agree as follows: <br />I . Section 2.a., COMPENSATION, shall be deleted in its entirety and replaced with the <br />following: <br />"a. Commencing July 1, 2012, City agrees to pay, and Consultant agrees to accept as total <br />payment for its services, the rates and charges identified in Exhibit A -1, attached to this Third <br />Amendment to Agreement. The total sum to be expended pursuant to this Agreement shall <br />not exceed $10,000.00 per fiscal year, during the term of said Agreement." <br />2. As provided by said Agreement, the Term has automatically renewed through June 30, 2013. <br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in <br />full force and effect. <br />IN WITNESS WHEREOF, the parties hereto have executed this Third Amendment to Agreement <br />on the date and year first written above. <br />ATTEST: <br />1, <br />MARIA D.
