d rJRE' <br />2012 <br />THIRD AMENDMENT TO AGREEMENT <br />N -2009-13+x.-003 <br />O: PRCS ( J) <br />Silvia Cuevas <br />THIS THIRD AMENDMENT TO CONSULTANT AGREEMENT is made and entered <br />into this 15th day of June, 2012 by and between IDEXX Laboratories, a Maine <br />corporation (hereinafter "Consultant"), and the City of Santa Ana, (hereinafter "City"). <br />RECITALS: <br />The parties entered into Agreement N-2009-136, dated October 1, 2009, as <br />amended from time to time, (hereinafter the "Agreement") by which Consultant <br />has provided veterinary laboratory services. <br />2. In accordance with the terms and conditions of said Agreement, the parties wish <br />to extend the term, add compensation to pay for services during the extended <br />term, and amend the pricing for provision of services. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />Third Amendment to Consultant Agreement, the parties agree as follows: <br />1. Section 2.a., COMPENSATION, shall be deleted in its entirety and replaced with the <br />following: <br />"a. City agrees to pay, and Consultant agrees to accept as total payment for its <br />services, the rates and charges identified in Exhibit A-1, attached hereto and <br />incorporated by this reference. The total amount available for services <br />provided during the extended term shall not exceed $25,000.00. <br />2. Section 3, TERM, shall be amended to provide that the term shall be extended for an <br />additional eighteen month period, through December 31, 2013. <br />3. Except as herein amended, all terms and conditions of said Agreement shall remain in <br />full force and effect. <br />
