I'.;t t -T <br />A-2012-037 <br />lK-- BILL OF SALE <br />BY THIS BILL OF SALE, the City of Santa Ana, a charter city and municipal corporation organized <br />y? and existing under the Constitution and laws of the State of California (hereafter "Transferor") hereby <br />bargains, grants, sells, conveys, assigns and transfers to Orange County Fire Authority (hereafter <br />"Transferee") all of the right, title and interest held by Transferor in the equipment listed in Attachment 1, <br />attached hereto and incorporated by this reference (hereafter "Property"). Transferor acknowledges <br />receipt of $ 27,585.00, as full payment for all Property sold. <br />Transferor represents and warrants that (i) it is the legal and beneficial owner of Property; (ii) <br />Transferor's interest in Property is free and clear of any lien, encumbrance or other adverse claim; and <br />(iii) it has full power and authority to convey Propoerty to Transferee. <br />`=- ANY DESCRIPTION OF THE PROPERTY IN THIS CONTRACT IS FOR THE SOLE PURPOSE OF <br />-? IDENTIFYING PROPERTY, IS NOT PART OF THE BASIS OF THE BARGAIN, AND DOES NOT <br />CONSTITUTE A WARRANTY THAT PROPERTY WILL CONFORM TO THAT DESCRIPTION. <br />-' THIS BILL OF SALE IS MADE WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR <br />STATUTORY. <br />PROPERTY SOLD PURSUANT TO THIS BILL OF SALE IS SOLD ON AN AS IS OR WITH ALL <br />FAULTS BASIS. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF PROPERTY IS <br />WITH THE TRANSFEREE. SHOULD THE PROPERTY PROVE DEFECTIVE FOLLOWING <br />PURCHASE, THE TRANSFEREE ASSUMES THE ENETIRE COST OF ALL NECESSARY SERVICING <br />AND REPAIR. <br />This Bill of Sale shall be effective as to the transfer of all PROPERTY on the date set forth below. <br />ATTEST: <br />Maria D.
