CIL DATi E; 4 -i9 - UZ FIRST AMENDMENT TO AGREEMENT A- 2011- 103 -01 THIS FIRST AMENDMENT TO AGREEMENT is entered into on March 12, 2012, by and between AMEC Environmental & Infrastructure, Inc., a Georgia corporation ( "Consultant ") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ( "City "). RECITALS: Q A. The City and AMEC Geomatrix, Inc. entered into Agreement A- 2011 -103, dated I z, April 4, 2011, (hereinafter "said Agreement ") by which Consultant has provided NPDES inspection and database management services. B. Effective January 1, 2012, AMEC Geomatrix, Inc., along with other AMEC holdings, merged into AMEC Environmental & Infrastructure, Inc., and assigned all terms and conditions of said Agreement to the successor entity. C. In accordance with the terms and conditions of said Agreement, the City desires to exercise its first option to extend for an additional one -year period and provide compensation to pay for services during the extended term. N WHEREFORE, in consideration of the covenants contained in said Agreement, and LU subject to all the terms and conditions of said Agreement, except those amended in this � Z ri T i First Amendment to Agreement, the parties agree as follows: 1. City hereby exercises its first option to extend the terms and conditions of said Lu _J Q_ Agreement for an additional one year period. 2. Section 2, COMPENSATION, shall be amended to increase compensation by $300,000, to pay for services during the first extension period. 3. Section 4, TERM, shall be deleted in its entirety and replaced with the following: "This Agreement shall commence on the date first written above and terminate on March 31, 2013, unless terminated earlier in accordance with Section 13, below. The City shall have the option to extend the term of this Agreement for up to two additional one -year periods, on the terms and conditions set forth herein." 4. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
