INSURANG 0'v i1t <br />WORK MAY Pi?C}':EEL A-201 Z-165 <br />UNTIL !NSUR0'j ; * ?f E <br />LERK C, 0 AGREEMENT FOR PROVISION OF <br />ATi q_6 - / 2 PARKING CONTROL ENFORCEMENT SERVICES <br />THIS AGREEMENT, made and entered into this /G-fp day of-Z_.-_-1 , 2012 by Central <br />Parking System, Inc., a Tennessee corporation (hereinafter "Contractor"), and the City of Santa <br />Ana, a charter city and municipal corporation organized and existing under the Constitution and <br />laws of the State of California (hereinafter "City"). <br />RECITALS <br />A. The City desires to retain a Contractor having special skill and knowledge in the <br />provision of parking control services comparable with "high-level" industry practice. <br />B. On April 10, 2012, City issued a Request for Proposals ("RFP") seeking proposals for <br />provision of parking control enforcement services. <br /> C. Contractor submitted a Proposal which has been determined to the best quality services <br /> <br />v at minimum cost to the City. <br /> D. Contractor is ready and willing to perform the parking control enforcement services and <br /> acknowledges that City has relied on Contractor's representations. <br /> C. In undertaking the performance of this Agreement, Contractor represents that it is <br />' knowledgeable in its field and that any services performed by Contractor under this <br /> Agreement will be performed in compliance with such standards as may reasonably be <br /> expected from a professional parking control enforcement contractor. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Contractor shall provide parking control services for the City of Santa Ana as set forth in <br />City's Request for Proposals (RFP), dated April 10, 2012, on file with the Santa Ana Police <br />Department - Traffic Division. Said services to be performed by Contractor's workforce shall <br />conform within the specifications set forth in Exhibit A, Specifications, Exhibit B, Central <br />Parking Transition Plan for the City of Santa Ana, attached hereto, and City's RFP. All <br />referenced exhibits are incorporated by this reference. <br />2. COMPENSATION <br />a. City agrees to pay, and Contractor agrees to accept as total payment for its services, <br />the rates and charges as set forth in Exhibit C, Revised Proposers' Statement and Proposal Item <br />Pricing, dated June 28, 2012. The total sum to be expended under this Agreement shall not <br />exceed $410,548.82, annually. <br />b. Invoices. Contractor shall submit a monthly invoice by the 15th of the month to the <br />City for the services rendered in the prior month. All invoices for work performed under this <br />contract shall be submitted electronically in a Microsoft Excel 2003 format or newer, or other <br />format approved by the City Projects Manager or designee.
