SECOND AMENDMENT TO AGREEMENT Vatme T 1 imea THIS SECOND AMENDMENT TO AGREEMENT is entered into on October 24, 2012, by and between Dawna T. Whaley ("Consultant") and the City of Santa Ana, a charter city and municipal corporation ("City"). RECITALS: A. The parties entered into that certain Agreement N-2011-001, dated December 1, 2010, (hereinafter "said Agreement") by which Consultant has provided human resources and payroll consulting services. B. By Amendment N-2011-001-001 dated December 1, 2010, the parties extended the term of said Agreement. C. In accordance with the terms and conditions of said Agreement, the parties wish to extend the term to pay for services provided during FY 2012-13. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this Second Amendment to Agreement, the parties agree as follows: 1. Section 3, TERM, shall be amended to extend the term through December 31, 2012. In order to provide continuous uninterrupted service, all services provided by Consultant since July 1, 2012 shall be included within the Scope of Services of this Agreement. 2. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
