6. Salary and Bonus Limitations. All Subrecipients of WIA program funds are required to <br />comply with federal requirements regarding the limitations on salary and bonus payments in <br />accordance with Public Law 109-149, Section 7013. <br />VII. <br />HOLD HARMLESS <br />A. CITY agrees to defend, indemnify and hold CONTRACTOR, its officers, <br />employees and agents, harmless from and against any and all liability, loss, expense, attorneys' fees, or <br />claims for injury or damages arising out of the performance of this Agreement but only in proportion to <br />and to the extent such liability, loss, expense, attorneys' fees, or claims for injury or damages are <br />caused by or result from the negligent or intentional acts or omissions of City, its officers, agents, or <br />employees. CONTRACTOR agrees to defend, indemnify and hold City, its officers, employees and <br />agents, harmless from and against any and all liability, loss, expense, attorneys' fees, or claims for <br />injury or damages arising out of the performance of this Agreement but only in proportion to and to the <br />extent such liability, loss, expense, attorneys' fees, or claims for injury or damages are caused by or <br />result from the negligent or intentional acts or omissions of CONTRACTOR, its officers, agents, or <br />employees. <br />VIII. <br />INSURANCE <br />1. Commercial General Liability. CONTRACTOR agrees to maintain and keep in force during <br />the term of this Agreement its self-insurance policy of comprehensive commercial public liability <br />insurance, Automobile Liability Coverage, and Workers' Compensation. Proof of self -insurance <br />policy is available online at http://www.ucop.edu/ucophome/policies/btb/bus63-ExliibitE.pdf and <br />http://www.ucop.edu/ucophome/policies/bfb/bus63.html. <br />Certificates and endorsements must be submitted and approved by CITY prior to any work under this <br />Agreement. CONTRACTOR understands that CITY will make no payments under this Agreement <br />until the required certificates and endorsements have been approved by CITY. <br />IX. <br />CORPORATE STATUS <br />All corporate CONTRACTORS shall be in good standing, without suspension by the <br />California Secretary of State, Franchise Tax Board and Internal Revenue Service. Any change in <br />corporate status or suspension shall be reported immediately to CITY. <br />X. <br />ASSIGNABILITY <br />None of the duties of, or work to be performed by, CONTRACTOR under this Agreement <br />shall be subcontracted or assigned to any agency, consultant, or person without the prior written <br />consent of CITY. CONTRACTOR must submit all subcontracts and other agreements that relate to <br />this Agreement to CITY. No subcontract or assignment shall terminate or alter the legal obligations of <br />CONTRACTOR pursuant to this Agreement. <br />Page 9 of 13
