A-2009-118-03 <br />WORK "AAv PRol E <br />'}AT-3 <br />THIRD AMENDMENT TO CONSULTANT AGREEMENT <br />THIS THIRD AMENDMENT TO AGREEMENT, made and entered into this 2'd day of <br />August, 2012 by and between GeoSpatial Technologies, Inc. ("GST"), a corporation, <br />(hereinafter "Consultant"), and the City of Santa Ana, a charter city and municipal corporation <br />organized and existing under the Constitution and laws of the State of California (hereinafter <br />1_ "Cit}'"). <br />RECITALS <br />v <br />1 A. The parties entered into Agreement #A-2009-118, dated August 3, 2009, (hereinafter <br />"Agreement") by which Consultant provided computer software and technical support for <br />crime mapping; analysis, and reporting solutions for law enforcement agencies. <br />B. The parties entered into First Amendment to Agreement #A-2009-118-01 dated <br />September 14, 2010, to provide additional support and maintenance of the installed <br />software, extend the term of said Agreement through August 2, 2011, and to increase <br />compensation to pay for an additional terns. <br />C. The parties entered into Second Amendment to Agreement #A-2009-118-02 dated <br />August 2, 2011, to provide additional support and maintenance and extend the term of <br />said Agreement through August 2, 2012. <br />D. In accordance with. the terms and conditions of said Agreement, the parties wish to <br />amend said Agreement to extend the term of the software support and maintenance <br />provisions for a one-year period and add compensation to pay for the support and <br />maintenance services during the extended term.. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this Third <br />Amendment to Agreement, the parties agree as follows: <br />1. Section 2, COMPENSATION, shall be amended to increase compensation to $10,500.00 <br />to pay for an additional term, August 2, 2012 through August 2, 2013, of maintenance <br />and support services for the products installed pursuant to said Agreement, as set forth in <br />Exhibit A, attached hereto and incorporated by reference. <br />2. Section 3, TERM, shall be amended to extend the warranties, maintenance and Support <br />services for an additional period from August 2, 2012 through August 2, 2013. <br />
