'Ap . , - <br />. , <br />t <br />2c� /� <br />FIFTH AMENDMENT TO CONSULTANT AGREEMENT <br />This FIFTH AMENDMENT TO AGREEMENT is entered into this 31st day of <br />A- 2012 -241 <br />December, 2012, by and between Phoenix Group Information Systems, a California corporation <br />(hereinafter "Consultant "), and the City of Santa Ana, a charter city and municipal corporation <br />organized and existing under the Constitution and laws of the State of California (hereinafter <br />"City "). <br />RECITALS: <br />A. City and Consultant entered into Agreement #A- 2008 -333, dated December 1, 2008, for <br />the processing of parking citations and collection of parking penalties (hereinafter "said <br />Agreement "). <br />B. City and Consultant entered into First Amendment to Agreement #A- 2009 -210, dated <br />December 21, 2009, to extend the term for an additional one -year period and increase <br />compensation to pay for services provided during the extended term. <br />C. City and Consultant entered into Second Amendment to Agreement #A- 2010 -242, dated <br />December 7, 2010, to extend the term for an additional one -year period and increase <br />compensation, at a lesser amount than that originally set forth in said Agreement, to pay <br />for services provided during the extended term. <br />D. City and Consultant entered into Third Amendment to Agreement #A- 2011 -257, dated <br />December 5, 2011, to extend the term for an additional six -month period and increase <br />compensation to pay for services provided during the extended term. <br />E. City and Consultant entered into the Fourth Amendment to Agreement #A- 2012 -146, <br />dated June 30, 2012 to extend the term for an additional one year period and increase the <br />compensation to pay for services provided during the extended term. <br />F. In accordance with the terms and conditions of said Agreement, the Parties desire to <br />extend the term of said Agreement for an additional one -year period and increase the <br />compensation term to pay for services provided during the extended term. <br />NOW, THEREFORE, in consideration of the mutual and respective promises, and subject to all <br />the terms and conditions of said Agreement, except as herein modified, the parties agree as <br />follows: <br />Section 2, COMPENSATION, shall be amended to increase compensation to an amount <br />not to exceed $250,000.00 to pay for services during the extended term. <br />
