j AtZ P - J t IEM A-2008-314-03 THIRD AMENDMENT TO MAINTENANCE AGREEMENT 11 This THIRD AMENDMENT TO AGREEMENT, is entered into this day of November, 2012, by and between The Omega Group, Inc., a California corporation (hereinafter "Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California (hereinafter "City"). RECITALS: A. City and Consultant entered into Agreement #A-2008-314, dated November 17, 2008, (hereinafter "said Agreement") by which City purchased a web -based version of the CrimeView application, Crimemapping.com, and Omega agreed to install, maintain and provide support and maintenance. rt B. City and Consultant entered into a First Amendment of the Agreement #A-2008-314-01 dated November 18, 2010 by which City amended the scope of the Agreement to provide f maintenance and support services for the web -based version of the CrimeView Application, Crimemapping.com, amended the compensation and extended the term of the agreement for an additional one year period through November 17, 2011. C. City and Consultant entered into a Second Amendment of the Agreement #A-2008-314-02 dated November 18, 2011 by which City amended the scope of the Agreement to amend the compensation and extended the term of the agreement for an additional one year period through November 17, 2012. D. In accordance with the terms and conditions of said Agreement, the Parties desire to amend the compensation and extend the term of said Agreement for an additional one-year period. NOW, THEREFORE, in consideration of the mutual and respective promises, and subject to all the terms and conditions of said Agreement, except as herein modified, the parties agree as follows: Section 2, COMPENSATION, shall be amended to increase compensation to an amount not to exceed $8,570.00, to pay for services provided by the Consultant during the extended term. 2. Section 3, TERM, shall be amended to extend the term of said Agreement for an additional one-year period through November 17, 2013. 3. Except as hereinabove modified, all terms and conditions of said Agreement shall remain in full force and effect.
