C-2-1640 <br />WHEREAS, on September 27, 2010, the AUTHORITY's Board of Directors approved the <br />2010 Transportation Enhancement Priority List of Projects; and <br />WHEREAS, on January 10, 2011, the AUTHORITY's Board of Directors, approved an <br />updated priority list of projects for the TE Program; and <br />WHEREAS, on September 26, 2011, the AUTHORITY's Board of Directors, approved <br />providing funding of up to One Hundred Sixty Four Thousand Two Hundred Fifty Dollars ($164,250) <br />or 75% of the total project cost, final cost is determined at bid award, in FTA Section 5307 funds for <br />PROJECT, defined in the CITY's application for TE funds which is hereby incorporated by reference; <br />and <br />WHEREAS, the CITY has agreed to provide non federal funding of up to Fifty Four <br />Thousand Seven Hundred Fifty Dollars ($54,750) or 25% of the total project cost as determined at <br />bid award, as the required local match for a total PROJECT cost of up to Two Hundred Nineteen <br />Thousand Dollars ($219,000); and <br />WHEREAS, CITY and AUTHORITY agree that the maximum funding provided by <br />AUTHORITY shall not exceed One Hundred Sixty Four Thousand Two Hundred Fifty Dollars <br />($164,250) in FTA Section 5307 funds in accordance with Exhibit A titled "FTA 5307 Funding Plan", <br />which is attached herein and incorporated by reference; and <br />WHEREAS, the CITY agrees to act as lead Agency for engineering, right-of-way acquisition, <br />construction management and construction of said PROJECT; and <br />WHEREAS, AUTHORITY and CITY agree to enter into this cooperative agreement to enable <br />AUTHORITY to pass along the FTA Section 5307 grant funds received from FTA to CITY, <br />contingent upon funding being approved by FTA; and <br />WHEREAS, this Cooperative Agreement defines the specific terms and conditions, funding <br />and compliance responsibilities between AUTHORITY and CITY (hereinafter referred to as <br />"PARTIES") for completion of PROJECT; and <br />Page 2 of 12 <br />LCamm\CLERICAL\CLEW CAL\WORDPROC\AGREEWG21640.doc <br />
