COOPERATIVE AGREEMENT NO. C-2-1992 <br />1 for the PROJECT and authorized the Chief Executive Officer to negotiate and execute this cooperative <br />2 agreement on October 15, 2012. <br />3 WHEREAS, the CITY of Santa Ana's City Council approved this Agreement on the 22 day <br />4 of u t 20 3 , <br />5 WHEREAS, the CITY of Tustin's City Council approved this Agreement on the _ day of <br />6 20 /J. <br />7 WHEREAS, the CITY of Westminster's City Council approved this Agreement on the <br />8 '� day of r J 20 z <br />9 WHER AS the Co my of Orange's Board of Supervisors approved this Agreement on the <br />10 .2 day of -. 20 /�; and <br />11 NO THEREFORE, it is mutually understood and agreed by AUTHORITY and the <br />12 PARTICIPATING AGENCIES as follows: <br />13 ARTICLE 1. COMPLETE AGREEMENT <br />14 A. This Agreement, including any attachments incorporated herein and made applicable by <br />15 reference, constitutes the complete and exclusive statement of the terms and conditions of this <br />16 Agreement between AUTHORITY and the PARTICIPATING AGENCIES and it supersedes all prior <br />17 representations, understandings and communications between the parties. The invalidity in whole or in <br />18 part of any term or condition of this Agreement shall not affect the validity of other term(s) or <br />19 conditions(s) of this Agreement. The above referenced Recitals are true and correct and are <br />20 incorporated by reference herein. <br />21 B. AUTHORITY's failure to insist on any instance(s) of PARTICIPATING AGENCIES' <br />22 performance of any term(s) or condition(s) of this Agreement shall not be construed as a waiver or <br />23 relinquishment of AUTHORITY's right to such performance or to future performance of such term(s) or <br />24 condition(s), and PARTICIPATING AGENCIES' obligation in respect thereto shall continue in full force <br />25 and effect.
