then rated in the Highest Rating Category or the Second Highest Rating Category. The <br />agreement may provide that the down graded provider may elect which of the remedies to the <br />down grade (other than the remedy set out in (B)) to perform. <br />Notwithstanding anything else in this Paragraph (g) to the contrary and with respect only to any <br />agreement described in this Paragraph (g) or any guarantee or insurance for any such agreement which is <br />to be in effect for any period after the Conversion Date, any reference in this Paragraph to the "Second <br />Highest Rating Category" will be deemed deleted so that the only acceptable rating category for such an <br />agreement, guarantee or insurance will be the Highest Rating Category. <br />(h) Subject to the ratings requirements set forth in this definition, shares in any money <br />market mutual fund (including those of the Funding Lender or the Fiscal Agent or any of their affiliates) <br />registered under the Investment Company Act of 1940, as amended, that have been rated "AAAm G" or <br />"AAAm" by SAP or "Aaa" by Moody's so long as the portfolio of such money market mutual fund is <br />limited to Government ®bligations and agreements to repurchase Government Obligations. If approved <br />in writing by the Funding Lender, a money market mutual fund portfolio may also contain obligations and <br />agreements to repurchase obligations described in paragraphs (b) or (c). If the Governmental Lender <br />Notes are rated by a Rating Agency, the money market mutual fund must be rated "AAAm G" or <br />"AAAm" by S&P, if SB~P is a Rating Agency, or "Aaa" by Moody's, if Moody's is a Rating Agency. If <br />at any time the Governmental Lender Notes are not rated (and, consequently, there is no Rating Agency), <br />then the money market mutual fund must be rated "AAAm G" or "AA.Am" by S&P or Aaa by Moody's. <br />If at any time (i) the Governmental Lender Notes are not rated, (ii) both S&P and Moody's rate a money <br />market mutual fund and (iii) one of those ratings is below the level required by this paragraph, then such <br />money market mutual fund will, nevertheless, be deemed to be rated in the Highest Rating Category if the <br />lower rating is no more than one rating category below the highest rating category of that rating agency. <br />(i) Any other investment authorized by the laws of the State, if such investment is approved <br />in writing by the Funding Lender. <br />Permitted Investments shall not include any of the following: <br />(1) Except for any investment described in the next sentence, any investment with a final <br />maturity or any agreement with a term greater than one year from the date of the investment.
