compensation for such services are intended to constitute expenses of administration under any <br />bankruptcy law or law relating to creditors rights generally. <br />(a) The Governmental Lender has no obligation to pay the Fiscal Agent for services <br />rendered. <br />(b) As security for the performance of the obligations of the Borrower under this Section and <br />for the payment of such compensation, expenses, reimbursements and indemnity, the Fiscal Agent shall <br />have the right to use and apply any moneys held by it as Pledged Revenues. <br />(c) The Fiscal Agent's rights to compensation and reimbursement shall survive its <br />resignation or removal, the payment of the Funding Loan or the Borrower Loan or the release of this <br />Funding Loan Agreement. <br />Section 11.9. Fiscal Agent Required; Eligibility. Any successor Fiscal Agent shall at all <br />times be a trust company, a state banking corporation or a national banking association with the authority <br />to accept trusts in the State approved in writing by the Governmental Lender and either (a) have a <br />combined capital and surplus of at least $50,000,000 as set forth in its most recent published annual report <br />of condition, (b) be a wholly owned subsidiary of a bank holding company, or a wholly owned subsidiary <br />of a company that is a wholly owned subsidiary of a bank holding company, having a combined capital <br />surplus of at least $50,000,000 as set forth in its most recent published annual report of condition, have at <br />least $500,000,000 of trust assets under management and have a combined capital surplus of at least <br />$2,000,000 as set forth in its most recent published annual report of condition, or (c) be otherwise <br />acceptable to the Funding Lender in its sole and absolute discretion. <br />Section 11.10. Resignation and Removal; Appointment of Successor. <br />(a) No resignation or removal of the Fiscal Agent hereunder and no appointment of a <br />successor Fiscal Agent pursuant to this Article shall become effective until the written acceptance by the <br />successor Fiscal Agent of such appointment. <br />(b) The Fiscal Agent may resign at any time by giving 60 days' Written Notice thereof to the <br />Governmental Lender, the Borrower, the Servicer, if any, and the Funding Lender. If an instrument of <br />acceptance by a successor Fiscal Agent shall not have been delivered to the Fiscal Agent within 30 days <br />after the giving of such notice of resignation, the resigning Fiscal Agent may petition any court of <br />competent jurisdiction for the appointment of a successor Fiscal Agent. <br />(c) The Fiscal Agent may be removed at any time with 30 days' notice by (i) the <br />Governmental Lender, (ii) the Borrower (unless the Borrower is in default under any of the Borrower <br />Loan Documents), subject to applicable notice and cure periods, with the Written Consent of the Funding <br />Lender and the Governmental Lender, or (iii) the Funding Lender with the Written Consent of the <br />Governmental Lender and Written Notice delivered to the Fiscal Agent and the Borrower. <br />(d) If the Fiscal Agent shall resign, be removed or become incapable of acting, or if a <br />vacancy shall occur in the Office of the Fiscal Agent for any cause, the Governmental Lender shall <br />promptly appoint a successor Fiscal Agent, with the consent of the Funding Lender, which consent shall <br />not be unreasonably withheld. In case all or substantially all of the Pledged Revenues and Security shall <br />be in the possession of a receiver or trustee lawfully appointed, such receiver or trustee may similarly <br />appoint a successor to fill such vacancy until a new Trustee shall be so appointed by the Governmental <br />Lender.
