materially adverse change in the financial condition, operations or business of the Borrower from that set <br />forth in said financial statements. <br />Section 4.1.14 Condemnation. No Condemnation or other proceeding has been commenced or, <br />to the Borrower's knowledge, is contemplated, threatened or pending with respect to all or part of the <br />Project or for the relocation of roadways providing access to the Project. <br />Section 4.1.15 Federal Reserve Regulations. No part of the proceeds of the Borrower Loan <br />will be used for the purpose of purchasing or acquiring any "margin stock" within the meaning of <br />Regulation U of the Board of Governors of the Federal Reserve System or for any other purpose that <br />would be inconsistent with such Regulation U or any other regulation of such Board of Governors, or for <br />any purpose prohibited by Legal Requirements or any Borrower Loan Document or Funding Loan <br />Document. <br />Section 4.1.16 Utilities and Public Access. To the best of the Borrower's knowledge, the <br />Project is or will be served by water, sewer, sanitary sewer and storm drain facilities adequate to service it <br />for its intended uses. All public utilities necessary or convenient to the full use and enjoyment of the <br />Project are or will be located in the public right-of way abutting the Project, and all such utilities are or <br />will be connected so as to serve the Project without passing over other property absent a valid easement. <br />All roads necessary for the use of the Project for its current purpose have been or will be completed and <br />dedicated to public use and accepted by all Governmental Authorities. Except for Permitted <br />Encumbrances, the Project does not share ingress and egress through an easement or private road or share <br />on-site or off site recreational facilities and amenities that are not located on the Project and under the <br />exclusive control of the Borrower, or where there is shared ingress and egress or amenities, there exists an <br />easement or joint use and maintenance agreement under which (i) access to and use and enjoyment of the <br />easement or private road and/or recreational facilities and amenities is perpetual, (ii) the number of parties <br />sharing such easement and/or recreational facilities and amenities must be specified, (iii) the Borrower's <br />responsibilities and share of expenses are specified, and (iv) the failure to pay any maintenance fee with <br />respect to an easement will not result in a loss of usage of the easement. <br />Section 4.1.17 Not a Foreign Person. The Borrower is not a "foreign person" within the <br />meaning of ~ 1445(f)(3) of the Code. <br />Section 4.1.18 Separate Lots. Each parcel comprising the Land is a separate tax lot and is not a <br />portion of any other tax lot that is not a part of the Land. <br />Section 4.1.19 Assessments. There are no pending or, to the Borrower's best knowledge, <br />proposed special or other assessments for public improvements or otherwise affecting the Project, or any <br />contemplated improvements to the Project that may result in such special or other assessments. <br />Section 4.1.20 Enforceability. The Borrower Loan Documents and the Funding Loan <br />Documents are not subject to, and the Borrower has not asserted, any right of rescission, set-off, <br />counterclaim or defense, including the defense of usury. <br />Section 4.1.21 Insurance. The Borrower has obtained the insurance required by this Borrower <br />Loan Agreement, if applicable, and the Security Instrument and has delivered to the Servicer copies of <br />insurance policies or certificates of insurance reflecting the insurance coverages, amounts and other <br />requirements set forth in this Borrower Loan Agreement, if applicable, and the Security Instrument. <br />Section 4.1.22 Use of Property; Licenses.
