the responsibilities and duties specified in the Borrower Loan Documents and the Funding Loan <br />Documents to be carried out by the Borrower. The Borrower acknowledges that (a) it understands the <br />nature and structure of the transactions relating to the financing of the Project, (b) it is familiar with the <br />provisions of all of the Borrower Loan Documents and the Funding Loan Documents and other <br />documents and instruments relating to the financing, (c) it understands the risks inherent in such <br />transactions, including without limitation the risk of loss of the Project, and (d) it has not relied on the <br />Governmental Lender, the Funding Lender, the Fiscal Agent or the Servicer for any guidance or expertise <br />in analyzing the financial or other consequences of the transactions contemplated by the Borrower Loan <br />Documents and the Funding Loan Documents or otherwise relied on the Governmental Lender, the <br />Funding Lender, the Fiscal Agent or the Servicer in any manner. <br />Section 4.1.37 Funding Loan Agreement. The Borrower has read and accepts and agrees that <br />it is bound by the Funding Loan Agreement and the Funding Loan Documents. <br />Section 4.1.38 Americans with Disabilities Act. The Project, as designed, will conform in all <br />material respects with all applicable zoning, planning, building and environmental laws, ordinances and <br />regulations of governmental authorities having jurisdiction over the Project, including, but not limited to, <br />the Americans with Disabilities Act of 1990 ("ADA"), to the extent required (as evidenced by an <br />architect's certificate to such effect). <br />Section 4.1.39 Requirements of Act, Code and Regulations. The Project satisfies all <br />requirements of the Act, the Code and the Regulations applicable to the Project. <br />Section 4.1.40 Regulatory Agreement. The Project is, as of the date of origination of the <br />Funding Loan, in compliance with all requirements of the Regulatory Agreement to the extent such <br />requirements are applicable; and the Borrower intends to cause the residential units in the Project to be <br />rented or available for rental on a basis which satisfies the requirements of the Regulatory Agreement, <br />including all applicable requirements of the Act and the Code and the Regulations, and pursuant to leases <br />which comply with all applicable laws. <br />Section 4.1.41 Intention to Hold Project. The Borrower intends to hold the Project for its own <br />account and has no current plans, and has not entered into any agreement, to sell the Project or any part of <br />it (except for rights granted in the Partnership Agreement); and the Borrower intends to occupy the <br />Project or cause the Project to be occupied and to operate it or cause it to be operated at all times during <br />the term of this Borrower Loan Agreement in compliance with the terms of this Borrower Loan <br />Agreement and the Regulatory Agreement and does not know of any reason why the Project will not be <br />so used by it in the absence of circumstances not now anticipated by it or totally beyond its control. <br />Section 4.1.42 Concerning General Partner. <br />(a) The managing general partner of Borrower is a nonprofit public benefit corporation, duly <br />organized and validly existing under the laws of the State. The administrative general partner of <br />Borrower is a limited liability company, duly organized and validly existing under the laws of the State. <br />Each General Partner has all requisite power and authority, rights and franchises to enter into and perform <br />its obligations under the Borrower Loan Documents and the Funding Loan Documents to be executed by <br />such General Partner for its own account and on behalf of Borrower, as general partner of Borrower, <br />under this Borrower Loan Agreement and the other Borrower Loan Documents and the Funding Loan <br />Documents. <br />(b) General Partner has made all filings (including, without limitation, all required filings <br />related to the use of fictitious business names) and is in good standing in the State and in each other <br />C:1UsersltadlDesktoplSanta Ana HA Washington Place 31 <br />BLA.doc <br />DRAFT 11/28/12 8:41AM <br />
