Charges assessed or levied by any public agency or governmental authority of whatsoever character <br />having power to levy taxes or assessments) but excluding franchise taxes based upon the capital and/or <br />income of the Funding Lender and taxes based upon or measured by the net income or gross receipts (to <br />the extent such taxes are assessed outside the Property Jurisdiction) of the Funding Lender; provided, <br />however, that the Borrower shall have the right to protest any such taxes or Other Charges and to require <br />the Funding Lender, at the Borrower's expense, to protest and contest any such taxes or Other Charges <br />levied upon them and that the Borrower shall have the right to withhold payment of any such taxes or <br />Other Charges pending disposition of any such protest or contest unless such withholding, protest or <br />contest would adversely affect the rights or interests of the Funding Lender. This obligation shall remain <br />valid and in effect notwithstanding repayment of the Borrower Loan hereunder or termination of this <br />Borrower Loan Agreement. <br />Section 5.3. Repairs; Maintenance and Compliance; Physical Condition. The Borrower shall <br />cause the Project to be maintained in a good, habitable and safe (so as to not threaten the health or safety <br />of the Project's tenants or their invited guests) condition and repair (reasonable wear and tear excepted) as <br />set forth in the Security Instrument and shall not remove, demolish or materially alter the Improvements <br />or Equipment (except for removal of aging or obsolete equipment or furnishings in the normal course of <br />business), except as provided in the Security Instrument. <br />Section 5.4. Litigation. The Borrower shall give prompt Written Notice to the Governmental <br />Lender, the Funding Lender and the Servicer of any litigation, governmental proceedings or claims or <br />investigations regarding an alleged actual violation of a Legal Requirement pending or, to the Borrower's <br />knowledge, threatened against the Borrower which might materially adversely affect the Borrower's <br />condition (financial or otherwise) or business or the Project. <br />Section 5.5. Performance of Other Agreements. The Borrower shall observe and perform in <br />all material respects each and every term to be observed or performed by it pursuant to the terms of any <br />agreement or instrument affecting or pertaining to the Project. <br />Section 5.6. Notices. The Borrower shall promptly advise the Governmental Lender, the <br />Funding Lender and the Servicer of (i) any Material Adverse Change in the Borrower's financial <br />condition, assets, properties or operations other than general changes in the real estate market, (ii) any fact <br />or circumstance affecting the Borrower or the Project that materially and adversely affects the Borrower's <br />ability to meet its obligations hereunder or under any of the other Borrower Loan Document to which it is <br />a party in a timely manner, or (iii) the occurrence of any Potential Default or Event of Default of which <br />the Borrower has knowledge. If the Borrower becomes subject to federal or state securities law filing <br />requirements, the Borrower shall cause to be delivered to the Governmental Lender, the Funding Lender <br />and the Servicer any Securities and Exchange Commission or other public filings, if any, of the Borrower <br />within two (2) Business Days of such filing. <br />Section 5.7. Cooperate in Legal Proceedings. The Borrower shall cooperate fully with the <br />Governmental Lender, the Funding Lender, the Fiscal Agent and the Servicer with respect to, and permit <br />the Governmental Lender, the Funding Lender, the Fiscal Agent and the Servicer at their option, to <br />participate in, any proceedings before any Governmental Authority that may in any way affect the rights <br />of the Goverrunental Lender, the Funding Lender, the Fiscal Agent and/or the Servicer under any <br />Borrower Loan Document or Funding Loan Document. <br />Section 5.8. Further Assurances. The Borrower shall, at the Borrower's sole cost and expense <br />(except as provided in Section 9.1 hereof, (i) furnish to the Servicer and the Funding Lender all <br />instruments, documents, boundary surveys, footing or foundation surveys (to the extent that the <br />Borrower's construction or renovation of the Project alters any existing building foundations or <br />C:1UsersltadlDesktoplSanta Ana HA Washington Place 35 <br />BLA.doc <br />DRAFT 11 /28/12 8:41 AM <br />
