applicable rules, rulings, policies, procedures, regulations or other official statements promulgated or <br />proposed by the Department of the Treasury or the Internal Revenue Service applicable to the <br />Governmental Lender Notes, the Funding Loan or affecting the Project. Capitalized terms used in this <br />Section 5.34 shall have the respective meanings assigned to them in the Regulatory Agreement or, if not <br />defined therein, in the Funding Loan Agreement. With the intent not to limit the generality of the <br />foregoing, the Borrower covenants and agrees that, prior to the final maturity of the Governmental Lender <br />Notes, unless it has received and filed with the Governmental Lender and the Funding Lender a Tax <br />Counsel No Adverse Effect Opinion (other than with respect to interest on any portion of the <br />Governmental Lender Notes for a period during which such portion of the Governmental Lender Notes is <br />held by a "substantial user" of any facility financed with the proceeds of the Governmental Lender Notes <br />or a "related person," as such terms are used in Section 147(a) of the Code), the Borrower will comply <br />with this Section 5.34. <br />(b) Use of Proceeds. The use of the net proceeds of the Funding Loan at all times will satisfy <br />the following requirements: <br />(i) Limitation on Net Proceeds. At least 95% of the net proceeds of the Funding <br />Loan (within the meaning of the Code) actually expended shall be used to pay Qualified Project <br />Costs that are costs of a "qualified residential rental project" (within the meaning of Sections <br />142(a)(7) and 142(d) of the Code) and property that is "functionally related and subordinate" <br />thereto (within the meaning of Sections 1.103-8(a)(3) and 1.103-8(b)(4)(iii) of the Regulations). <br />(ii) Limit on Costs of Funding. The proceeds of the Funding Loan will be expended <br />for the purposes set forth in this Borrower Loan Agreement and in the Funding Loan Agreement <br />and no portion thereof in excess of two percent of the proceeds of the Funding Loan, within the <br />meaning of Section 147(g) of the Code, will be expended to pay Costs of Funding of the Funding <br />Loan. <br />(111) Prohlblted Facllltles. The Borrower shall not use or permit the use of any <br />proceeds of the Funding Loan or any income from the investment thereof to provide any airplane, <br />skybox, or other private luxury box, health club facility, any facility primarily used for gambling, <br />or any store the principal business of which is the sale of alcoholic beverages for consumption off <br />premises. <br />(iv) Limitation on Land. Less than 25 percent of the net proceeds of the Funding <br />Loan actually expended will be used, directly or indirectly, for the acquisition of land or an <br />interest therein, nor will any portion of the net proceeds of the Funding Loan be used, directly or <br />indirectly, for the acquisition of land or an interest therein to be used for farming purposes. <br />(v) Limitation on Existin Facilities. No portion of the net proceeds of the Funding <br />Loan will be used for the acquisition of any existing property or an interest therein unless (A) the <br />first use of such property is pursuant to such acquisition or (B) the rehabilitation expenditures <br />with respect to any building and the equipment therefor equal or exceed 15 percent of the cost of <br />acquiring such building financed with the proceeds of the Funding Loan (with respect to <br />structures other than buildings, this clause shall be applied by substituting 100 percent for 15 <br />percent). For purposes of the preceding sentence, the term "rehabilitation expenditures" shall <br />have the meaning set forth in Section 147(4)(3) of the Code. <br />(vi) Accuracy of Information.
