Controlling Entity, (ii) provide financial statements, audited, if available, relating to the Project with <br />customary disclaimers for any forward looking statements or lack of audit, and (iii), at the expense of the <br />Funding Lender or the Servicer, perform or permit or cause to be performed or permitted such site <br />inspection, appraisals, surveys, market studies, environmental reviews and reports (Phase I's and, if <br />appropriate, Phase II's), engineering reports and other due diligence investigations of the Project, as may <br />be reasonably requested from time to time by the Funding Lender or the Servicer or the Rating Agencies <br />or as may be necessary or appropriate in connection with a Secondary Market Transaction or Exchange <br />Act requirements (the items provided to the Funding Lender or the Servicer pursuant to this. paragraph (a) <br />being called the "Provided Information"), together, if customary, with appropriate verification of and/or <br />consents to the Provided Information through letters of auditors or opinions of counsel of independent <br />attorneys acceptable to the Funding Lender or the Servicer and the Rating Agencies; <br />(b) make such representations and warranties as of the closing date of any Secondary Market <br />Transaction with respect to the Project, the Borrower, the Borrower Loan Documents and the Funding <br />Loan Documents reasonably acceptable to the Funding Lender or the Servicer, consistent with the facts <br />covered by such representations and warranties as they exist on the date thereof; and <br />(c) execute such amendments to the Borrower Loan Documents and the Funding Loan <br />Documents to accommodate such Secondary Market Transaction so long as such amendment does not <br />affect the material economic terms of the Borrower Loan Documents and the Funding Loan Documents <br />and is not otherwise adverse to the Borrower in its reasonable discretion. <br />Section 9.1.2 Use of Information. The Borrower understands that certain of the Provided <br />Information and the required records may be included in disclosure documents in connection with a <br />Secondary Market Transaction, including a prospectus or private placement memorandum (each, a <br />"Secondary Market Disclosure Document"), or provided or made available to investors or prospective <br />investors in the Securities, the Rating Agencies and service providers or other parties relating to the <br />Secondary Market Transaction. In the event that the Secondary Market Disclosure Document is required <br />to be revised, the Borrower shall cooperate, subject to Section 9.1.1(c) hereof, with the Funding Lender <br />and the Servicer in updating the Provided Information or required records for inclusion or summary in the <br />Secondary Market Disclosure Document or for other use reasonably required in connection with a <br />Secondary Market Transaction by providing all current information pertaining to the Borrower and the <br />Project necessary to keep the Secondary Market Disclosure Document accurate and complete in all <br />material respects with respect to such matters. The Borrower hereby consents to any and all such <br />disclosures of such information. <br />Section 9.1.3 Borrower Obligations Regarding Secondary Market Disclosure Documents. <br />In connection with a Secondary Market Disclosure Document, the Borrower shall provide, or in the case <br />of aBorrower-engaged third party such as the Manager, cause it to provide, information reasonably <br />requested by the Funding Lender pertaining to the Borrower, the Project or such third party (and portions <br />of any other sections reasonably requested by the Funding Lender pertaining to the Borrower, the Project <br />or the third party). The Borrower shall, if requested by the Funding Lender and the Servicer, certify in <br />writing that the Borrower has carefully examined those portions of such Secondary Market Disclosure <br />Document, pertaining to the Borrower, the Project or the Manager, and such portions (and portions of any <br />other sections reasonably requested and pertaining to the Borrower, the Project or the Manager) do not <br />contain any untrue statement of a material fact or omit to state a material fact necessary in order to make <br />the statements made, in the light of the circumstances under which they were made, not misleading; <br />provided that the Borrower shall not be required to make any representations or warranties regarding any <br />Provided Information obtained from a third party except with respect to information it provided to such <br />parties.
