each Parking Facility shall be submitted to the Contract Administrator for review and approval. Thereafter the Operator shall make necessary revisions on an as-needed basis, but at least on an annual basis and no later than January 31 of each year, submitted to and approved, in writing by the Contract Administrator shall approve any subsequent changes or revisions in writing. The SOP Manual shall be kept up to date at all times and pertinent parts shall be provided and explained to each of the Operator's employees. 23. ASSIGNABILITY The parties agree that the expertise and experience of Operator are material considerations for this Agreement. Operator may not assign the performance of any obligation or interest under this Agreement without the prior written consent of City, not to be unreasonably withheld or delayed. . Any attempt by Operator to assign this Agreement in violation of this Section will be voidable at City's sole option. If the Operator hereunder is a corporation or an unincorporated association or partnership, the transfer of any stock or interest in said corporation, association, or partnership in the aggregate exceeding twenty-five percent (25%) shall be deemed an assignment within the meaning of this clause. 24.
