FIRST AMENDMENT TO AGREEMENT THIS FIRST AMENDMENT TO AGREEMENT is entered into on April 15, 2013, by and between EHS International, Inc. ("Consultant") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS: A. The parties entered into that certain Agreement # N-2012-030, dated July 1, 2012, (hereinafter "said Agreement") by which Consultant has provided safety training services. B. In accordance with the terms and conditions of said Agreement, the parties desire to increase compensation to provide additional safety training classes for City employees, and extend the term of said Agreement to allow City time to competitively bid the provision of services. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1. Section 2.a., COMPENSATION, shall be amended to increase compensation by $50,000.00, to pay for the additional safety training services, at the rates and charges set forth in said Agreement. The total amount to be expended shall not exceed $75,000.00, during the term of said Agreement. 2. Section 3, TERM, shall be extended through September 30, 2013. 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
