enrollment or for any reason by University, Students will be given the opportunity to <br />complete the Program(s) at any University campus or center in Orange County, <br />California at the standard full tuition rate. If the course(s) necessary for completion of <br />the Program(s) are not available at any University campus or center in Orange County, <br />California, then University will reimburse Student(s) the pro -rata share of the remaining <br />already paid tuition fees. <br />7. Verification of Employment Status. University will permit only those Students who <br />supply University with proof of their employment status to take courses at the Facility at <br />the reduced tuition rate stated in Paragraph Six (6) of this Agreement. University shall <br />provide Employer with the names of all enrollees and Employer shall verify, at least <br />quarterly, that the Students are its current employees. <br />8. Confidentiality. University agrees that it will not sell or give out the addresses and/or <br />personal information (including but not limited to date of birth, social security number, <br />address, financial information) of any Student(s) which are employees of Employer or <br />use those addresses and/or personal information for any reason whatsoever other than <br />usual University Program(s) related correspondence. <br />9. Term. The term of this Agreement shall be two (2) years, commencing on the date first <br />set forth above, provided that either party may terminate this Agreement, without cause, <br />at anytime, upon thirty (30) days prior written notice to the other party. <br />10. Insurance. University will obtain and maintain a broad form commercial general liability <br />policy acceptable to Employer in the minimum amounts of $1,000,000 combined single <br />occurrence and $2,000,000 general aggregate and will name Employer, its officials, <br />employees, agents and volunteers as an additional insured on that policy. To the extent <br />the University has more than one (1) employee; University will also obtain and maintain <br />worker's compensation insurance coverage in the minimum amount of $1,000,000 per <br />incident. The University will provide Employer proof of the required insurance prior to <br />the start of the Agreement. <br />11. Indemnitv. Each party will indemnify, defend, and hold harmless, the other party <br />(including officers, employees, agents and volunteers) against all claims, liabilities, <br />damages and costs (including attorney fees) arising from or in any way related to this <br />Agreement caused by that party's breach of this Agreement, inaccuracy of <br />representations, or conduct, whether negligent, reckless or intentional. These obligations <br />will continue after the Agreement terminates. <br />12. Venue and Choice of Law. This Agreement has been executed and delivered in the State <br />of California and the validity, interpretation, performance, and enforcement of any of the <br />clauses of this Agreement shall be determined and governed by the laws of the State of <br />California. Both parties further agree that Orange County, California, shall be the venue <br />for any action or proceeding that may be brought or arise out of, in connection with or by <br />reason of this Agreement. <br />
