Thereafter, <br />any communication shall be addressed and transmitted to the new address. If sent by <br />mail, communication shall be effective or deemed to have been given three (3) days after <br />it has been deposited in the United States mail, duly registered or certified, with postage <br />prepaid, and addressed as set forth above. If sent by telefacsimile, communication shall <br />be effective or deemed to have been given twenty-four (24) hours after the time set forth <br />on the transmission report issued by the transmitting facsimile machine, addressed as set <br />forth above. For purposes of calculating these time frames, weekends, federal, state, <br />County or City holidays shall be excluded. <br />24. Contract Administrator. The Executive Director of the Parks, Recreation and <br />Community Services Agency, or his/her designee, shall be City's Contract Administrator <br />for this Agreement and all approval and notices required to be given herein shall be so <br />directed and addressed. <br />25. Incorporation of Recitals and Exhibits. All of the recitals and exhibits set forth <br />in or attached to this License are by this reference incorporated in and made a part of this <br />License. <br />26. Construction. The parties acknowledge that each party and its counsel have <br />reviewed and revised this Agreement and that the normal rule of construction to the effect <br />that any ambiguities are to be resolved against the drafting party shall not be employed in <br />the interpretation of this Agreement or any amendments hereto. <br />27. Governing Law. This Operating Agreement shall be construed and interpreted in <br />accordance with and shall be governed and enforced in all respects according to the laws <br />of the State of California. <br />12 <br />25E-14
