8. OCAPICA shall obtain and maintain workers' compensation insurance required bylaw for participants who are placed <br />at each Community /Business Partner site for the Internships and Work Experience (WEX). <br />9. Indemnification: <br />(a) OCAPICA shall defend, indemnify, and hold harmless the Community /Business Partner, its officers, employees, and <br />agents from and against any and all liability, loss, expense (including reasonable attorneys' fees), or claims for <br />injury or damages arising out of the performance of this Agreement but only in proportion in and to the extent <br />that such liability, loss, expense, attorneys' fees or claims for injury or damages are caused by or result from the <br />negligent or intentional acts of omissions of the Community /Business Partner, its officers, employees, and agents. <br />(b) Community /Business Partner shall defend, indemnify, and hold harmless OCAPICA, its officers, employees, and <br />agents from and against any and all liability, loss, expense (including reasonable attorneys' fees), or claims for <br />injury or damages arising out of the performance of this Agreement but only in proportion in and to the extent <br />that such liability, loss, expense, attorneys' fees or claims for injury or damages are caused by or result from the <br />negligent or intentional acts of omissions of the Community /Business Partner, its officers, employees, and agents. <br />10. The Community Partner /Business Partner is an independent contractor and not an agent or employee of OCAPICA and <br />has no authority to contract or enter into any other agreement in the name of OCAPICA. <br />As representatives of the agencies named in this Worksite Agreement, the signatures below indicate an agreement to <br />in ment the above and to comply with all applicable requirements and policies governing this collaborative effort.
