SERVICES AGREEMENT <br />SECURE BIKE SHELTER PROJECT <br />THIS AGREEMENT, made and entered into this 3Id day of June, 2013, by and <br />between Acire, Inc. (hereinafter "Contractor"), and the City of Santa Ana, a charter city <br />and municipal corporation organized and existing under the Constitution and laws of the <br />State of California (hereinafter "City"). <br />RECITALS <br />1. The City desires to retain a Contractor having special skill and knowledge in the <br />field of providing secure bike parking systems. <br />2. Contractor represents that it is able and willing to provide such services to the <br />City. <br />3. In undertaking the performance of this Contract, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under <br />this Contract will be performed in compliance with such standards. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and <br />subject to the terms and conditions hereinafter set forth, the parties agree as follows: <br />SCOPE OF SERVICES <br />Contractor shall provide all services required to design, procure, install, maintain <br />and manage secure bike parking facilities (hereinafter "Scope of Work"), as <br />detailed in Contractor's Proposal dated May 1, 2013, and in compliance with all <br />terms and conditions set forth in City's Request for Proposals (RFP) 13-019, <br />attached hereto as Exhibit A, and Exhibit B, respectively, and incorporated by <br />this reference. <br />The Parties agree that the initial installation will include one twelve bike facility, <br />one twenty-four bike facility, and two public bike maintenance stands. Within six <br />months the parties will agree on the site for the third system, at which time the <br />installation schedule will be approved. <br />Contractor shall provide a Standard site license for the BikeConnect Reservation <br />and Management platform. Contractor shall provide video surveillance, with a <br />30-day data retention period, at no additional charge to City. Contractor shall <br />implement and manage the BikeConnect System, and shall collect <br />reservation/subscription fees at the rates set by City for use of the City facilities. <br />It shall be Contractor's responsibility to provide the specific services set forth in <br />the Scope of Work. Nothing in the Contract Documents shall be construed to limit <br />the Contractor's responsibility to manage the details and execution of its Work, it <br />being understood that the City is relying on Contractor's experience with <br />designing, conducting, managing and operating similar projects in other cities. <br />The Contractor will furnish all of the material, supplies, tools, equipment, labor, <br />and other services necessary for the completion of the project described herein. <br />Exhibit 3 <br />25H-7
