JUN 2 6 2013 N-2011-001-003 0: F MS/ Phyro l0 THIRD AMENDMENT TO AGREEMENT 5aarrie Flores THIS THIRD AMENDMENT TO AGREEMENT, effective as of this I p day of April, 2013, by and between, Dawna T. Whaley ("Consultant") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS A. The City and Consultant previously entered into that certain Agreement (N-2010-001) ("Agreement") dated December 1, 2010, for Consultant to provide human resources and payroll consulting services to City. B. The parties amended the Term of said Agreement in 2012 to pay for services provided during FY 2012- 2013. C. The parties had agreed to further extend said Agreement but due to clerical error no document was executed. In order to provide continuous uninterrupted service, the parties hereto now desire to once again amend the Tenn of said Agreement. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terns and conditions hereinafter set forth, the parties agree as follows: 1. The Term (Section 3) of said Agreement shall be amended to June 30, 2013. In order to provide continuous uninterrupted service, all services provided by Consultant since January 1, 2013 shall be covered and included within the Scope of Services of said Agreement, as extended. 2. Except as hereinabove amended, all other terms and conditions included in said Agreement shall have the same force and effect IN WITNESS WHEREOF, the parties hereto have executed this Third Amendment the date and year first above written.
