A-2009-159-03 <br />hIsuyi'N" ON' 11- <br />VOHKMAYPE`i <br />MTILINSURAw' Pc <br />CLERK OF CCtM" <br />FOURTH AMENDMENT TO AGREEMENT <br />THIS FOURTH AMENDMENT TO AGREEMENT is entered into on this 25" day of <br />September 2012, by and between AON eSolutions, Inc. (formerly Valley Oak Systems, Inc.), a <br />California corporation ("Consultant") and the City of Santa Ana, a charter city and municipal <br />corporation organized and existing under the Constitution and laws of the State of California <br />("City"). <br />RECITALS: <br />A. The parties entered into that certain agreement entitled "Software Maintenance and Support <br />Agreement (A-2007-049) dated February 20, 2007 (hereinafter "said Agreement") for <br />maintenance and support services for the AON workers' compensation and liability claims <br />software utilized by the City's Personnel Agency, Risk Management Division. <br />B. By Amendment dated September 8, 2009; September 7, 2010; and September 27, 2011, the <br />parties extended the terms of said Agreement. <br />C. In accordance with the terms and conditions of said Agreement, the parties now wish to <br />amend the termination date and increase the amount of compensation. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br />the terms and conditions of said Agreement, except those amended in this Fourth Amendment to <br />Agreement, the parties agree as follows: <br />1. Section 3.a., TERM AND TERMINATION, shall be amended to extend the term for an <br />additional one-year period, through September 30, 2013. The term may be extended for up to <br />two additional one-year periods at the option of the City. In order to provide continuous <br />uninterrupted service, all services provided by Consultant since September 30, 2012 shall be <br />included within the Scope of Services of this Agreement. <br />2. Section 4.c., FEES AND CHARGES, shall be amended to increase compensation to pay for <br />the additional services during the extended period as set forth in Exhibit B-1 (Year 4), <br />attached hereto and incorporated by this reference. The total not to exceed amount during <br />this contract period shall be $45,000. <br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in <br />full force and effect. <br />
