THIS FIRST AMENDMENT TO AGREEMENT is entered into on August 21 1 2013 by and <br />a between WILLDAN HOMELAND SOLUTIONS, a California corporation (hereinafter <br />IkO&Qy "Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized <br />and existing under the Constitution and laws of the State of California (hereinafter "City"). <br />RECITALS: <br />A. The parties entered into Agreement # A-2012-218, dated October 15, 2012, (hereinafter "said <br />Agreement") by which Consultant has provided Homeland Security training and exercise <br />programs. <br />B. Due to a clerical error, the hourly rate for program management services was set at a level that <br />covered only salary and not the frilly loaded salary and benefits. The parties wish to amend said <br />Agreement to reflect that the hourly rate should include salary and benefits, effective from the <br />commencement of said Agreement. <br />C. In accordance with the terms and conditions of said Agreement, the parties wish to amend the <br />Scope of Work to set forth the list of programs which Consultant will provide pursuant to said <br />Agreement, amend the hourly rate for provision of program management services, and amend the <br />required certifications to conform to the Department of Homeland Security funding <br />requirements, <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the <br />terms and conditions of said Agreement, except those amended in this First Amendment to <br />Agreement, the parties agree as follows: <br />Section 1, SCOPE OF SERVICES, shall be amended by to delete certain Training and <br />Exercise programs and include other Training and Exercise programs as follows: <br />Changes to Preparedness Exercises: <br />1. Hospital Emergency Operation Center (HEOC) Workshop ($32,000) <br />2. Decontamination Drill (include required participant equipment) +$5,000 <br />3. Command Level Operations TTX ($36,000) <br />4. All Hazard Full-Scale Exercise ($125,000) <br />Subtotal subtracted Exercises ($193,000) <br />Subtotal added to Exercises + $5.000 <br />Total $ change to Exercises ($188,000) <br />Chances to Preparedness Training: <br />1. The Public Information Officer (PIO): Avoiding a Second Disaster ($11,114) <br />2. (24 hr.) 3-Day Command Staff Strategies in Crowd Management <br />and MFF Deployment - +$15,640 <br />(16hr.) 2-Day basic Mobile Field Force Course - +$12,935 <br />3. (24 hr.) 3-Day Advanced Mobile Field Force Course +$16,768
