SECOND AMENDMENT TO <br />MAIN STREET ARCHWAY SIGN <br />COOPERATIVE AGREEMENT <br />THIS SECOND AMENDMENT is entered into this 7" day of July, 2008, by and between <br />the COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF SANTA ANA, a public <br />body corporate and politic (the "Agency "), and the CITY OF SANTA ANA, a charter city and <br />municipal corporation duly organized and existing under the Constitution and laws of the State of <br />California (the "City "). <br />WITNESSETH <br />A. The Agency and City entered into that certain agreement titled the "Main Street <br />Archway Sign Public Improvements Cooperative Agreement" ( "Agreement ") dated October 2, 2006 <br />B. The Agency contracted with the City for the City to provide for the manufacturing <br />and installation in the South Main Project Area of public improvements Projects which consists of <br />the Main Street Archway Sign (referred to hereinafter as "Publicly Owned Improvements ") in <br />connection with the Agency's redevelopment activities. <br />C. The Agency agreed to pay all or part of the value of the land for and/or the cost of <br />the manufacture and installation of such Publicly Owned Improvements to the City, including the <br />relocation of a gas main to accommodate the sign post footing. <br />D. The City has received a final invoice from Southern California Gas Company for <br />the relocation of the gas main which exceeds the original estimate for the work. <br />E. The parties hereto now wish to amend the Agreement to increase the amount of the <br />compensation by the Agency due to the unforeseen additional costs. <br />WHEREFORE, in consideration of the mutual and respective promises hereinafter <br />contained and made, and subject to all the terms and conditions of said Agreement as hereby <br />amended, the parties do hereby agree as follows: <br />1. The "SCOPE OF WORK" section of the Agreement shall be amended to increase the dollar <br />amount by an additional $7,683.73 in order to cover the total cost to the Southern California Gas <br />Company for the relocation of a 3 -inch gas main line to accommodate the sign post footing. <br />Therefore, the total compensation by the Agency to the City shall not exceed $391,328.73. City shall <br />forward payment to the Southern California Gas Company for said pipe relocation costs. <br />2. All other terms and conditions included in said Agreement shall have the same force and <br />effect and remain unchanged. <br />4 -17 <br />
