Secretary, is hereby approved. The Executive Director, or the designee thereof (the <br />"Authorized Signatory "), is hereby authorized and directed, for and on behalf of the <br />Authority, to execute and deliver the Amendment in substantially said form, with such <br />changes and insertions therein as the Authorized Signatory, with the advice of the <br />General Counsel, may approve, such approval to be conclusively evidenced by the <br />execution and delivery thereof. The Secretary or the designee thereof is authorized to <br />attest the Amendment. <br />Section 3. The Authorized Signatory, for and in the name and on behalf of the <br />Authority, is hereby authorized to execute and deliver any and all documents, including, <br />without limitation, any and all documents and certificates to be executed in connection <br />with maintaining tax exemption of interest on the Loan, and to do any and all things and <br />take any and all actions which may be necessary or advisable, in their discretion, to <br />effectuate the actions which the Authority has approved in this Resolution and to <br />consummate by the Authority the transactions contemplated by the documents <br />approved hereby, including any subsequent amendments, waivers or consents entered <br />into or given in accordance with such documents. <br />Section 4. All actions heretofore taken by the employees, officers and agents <br />of the Authority with respect to the Amendment are hereby ratified, confirmed and <br />approved. and the officers and employees of the Authority and their authorized deputies <br />and agents are hereby authorized and directed, jointly and severally, to do any and all <br />things to execute and deliver any and all certificates and documents which they, bond <br />counsel and the Authority Attorney and the City deem necessary or advisable to <br />consummate the Amendment and otherwise effectuate the purpose of this Resolution. <br />Section 5. This Resolution shall take effect immediately upon its adoption by the <br />Authority Board, and the Recording Secretary for the Authority shall attest to and certify <br />the vote adopting this Resolution. <br />Resolution No. 2014 -001 <br />Page 2 of 3 <br />
