Agreement No. D07.028 <br />1 proceeding or counterclaim brought by any party hereto against the other (and/or against its officers, directors, <br />2 employees, agents, or subsidiary or affiliated entities) on or with regard to any matters whatsoever arising out of or <br />3 in any way connected with this AGREEMENT and/or any other claim of injury or damage. <br />4 20. Neither the AGREEMENT nor any portion thereof may be assigned by a CITY OR CITIES without <br />5 the written consent of COUNTY. The terms and provisions of this AGREEMENT shall be binding upon and inure <br />6 to the benefit of the parties hereto and their successors and assigns. <br />7 21.
